Nexusbird, Inc. dba Wonderly (“Wonderly,” “we,” “our,” or “us”) is committed to protecting your privacy. This Privacy Notice explains how your personal information is collected, used, and disclosed by Wonderly. This Privacy Notice applies to our websites, including www.wonderly.com (our “Sites”), our mobile apps for iPhone or Android mobile devices (our “Apps”), and your use of the services in connection with the Sites and Apps (collectively, our “Service”). Please note that this Privacy Notice does not apply to our processing of information about employees or job applicants.
We encourage you to review our Terms of Use because they contain important information about your use of the Service.
1. OUR ROLE IN PROCESSING PERSONAL INFORMATION
Data protection laws sometimes differentiate between “controllers” and “processors” of personal information. A “controller” determines the purposes and means (the why and how) of processing personal information. A “processor,” which is sometimes referred to as a “service provider,” processes personal information on behalf of a controller subject to the controller’s instructions.
This Privacy Notice describes our privacy practices where we are acting as the controller of personal information. However, this Privacy Notice does not cover or address how our customers may process personal information when they use our Service, or how we may process personal information on their behalf in accordance with their instructions where we are acting as their processor.
As part of the Service, customers may upload, input, or otherwise provide contact information and other personal information relating to individuals who have submitted their information to that customer or the customer has otherwise collected from the individual (such as through a website form, advertisement, landing page, or other lead capture mechanism) (“Customer Data”). With respect to the Customer Data, the customer is the data controller, and Wonderly acts as a processor on behalf of the customer. Wonderly does not have a direct relationship with individuals whose information our customers upload or otherwise make available or collect through the Service.
For example, Wonderly’s platform is designed to assist customers in communicating with existing and potential clients. The customer is responsible for obtaining the relevant client’s contact information and facilitating communication with the client through the Service in accordance with applicable law. While Wonderly may share necessary communications data (including phone numbers, message content, routing information, and registration details) with telecommunications carriers and infrastructure providers to facilitate such communications, Wonderly does so solely on behalf of the relevant customer.
As a result, we recommend referring to the privacy notice of the customer with which you have a relationship for information on how they engage processors, like us, to process personal information on their behalf. In addition, we are generally not permitted to respond to individual requests relating to personal information we process on behalf of our customers, so we recommend directing any requests to the relevant customer.
2. WHAT INFORMATION DO WE COLLECT AND FOR WHAT PURPOSE?
We collect personal information in connection with your visits to and use of the Service. This collection includes information that you provide in connection with the Service, information from third parties, and information that is collected automatically, such as through the use of cookies and other technologies.
A. Information You Provide to Us Directly
We collect and use personal information you provide in the following ways:
- Registration and Service Information. If you register for an account with our Service, we may collect your name, the name of and information about the company you represent, and the email address and phone number you choose to associate with the account. We may also collect this information if you submit information through the Sites or Apps or otherwise communicate with us. We use this information primarily to administer your account, provide you with the relevant service and information, communicate with you regarding your account and your use of the Service, and for customer support purposes.
- Payment Information. If you pay for the Service, you may provide payment information, including credit or debit card number, expiration date, security code, and billing address (as well as routing and account number). Please note we process all financial information, such as credit card numbers, through third-party payment processing providers including Stripe. As such, we do not directly collect or retain any personally identifiable financial information, such as payment card number, in connection with your payments. Rather, all such information is provided directly by you to our third-party payment processors or financing providers. Their use of your personal information is governed by their privacy notice. - Inquiries and Troubleshooting. If you communicate with us through any form, chat platform (including any available online live chat or automated chat functions), email addresses, or other contact information we make available to customers, as well as recordings of calls or meetings with us, where permitted by law (including through the use of automated or artificial intelligence tools provided by us or our third-party providers), we may collect your name, email address, or any other personal information you choose to provide to us. We use this information primarily to investigate and respond to your inquiries, and to communicate with you, to enhance the services we offer to our users and to manage and grow our organization.
Where an individual chooses to contact us, we may need additional information to fulfill their request or respond to their inquiry. We may provide additional privacy disclosures where the scope of the inquiry/request or the personal information we require fall outside the scope of this Privacy Notice. In that case, the additional privacy disclosures will govern how we may process the information the individual provides at that time.
B. Information We Collect Automatically Through Use of the Service
As is true of most digital platforms, we and our third-party providers may also collect personal information from an individual’s device, browsing actions and website / platform usage patterns automatically when visiting or interacting with our Services, which may include log data and other data about your device and network (such as internet protocol (IP) address, operating system, browser type, browser id, the URL entered and the referring page/campaign, date/time of visit, the time spent on our Services and any errors that may occur during the visit to our Services), analytics data and other data about how you use our Service and interact with us (such as the electronic path taken to our Services, through our Services and when exiting our Services, as well as usage and activity on our Services such as the pages you view, the links you click, features and functionalities you utilize, how frequently you access the Service, the site from which you came and the site to which you are going when you leave the Service, whether you open emails or click on the links contained in emails, whether you access the Service from multiple devices, or other actions you take on the Service. We may also work with third-party partners to employ technologies, including statistical modeling tools, which attempt to recognize you across multiple devices); and location data (such as general geographic location based on the log data we or our third-party providers collect).
We and our third-party providers may use (i) cookies or small data files that are stored on an individual’s computer and (ii) other, related technologies, such as web beacons, pixels, embedded scripts, location-identifying technologies and logging technologies (collectively, “cookies”) to automatically collect this personal information. For example, our Sites use Google Analytics, a web analytics service provided by Google LLC (“Google”), to collect and view reports about the traffic on our Sites. You may be able to utilize third-party tools and features to restrict our use of cookies and other automatic data collection technologies. For example, (i) most browsers allow you to change browser settings to limit cookies and automatic data collection technologies on websites, (ii) most email providers allow you to prevent the automatic downloading of images in emails that may contain automatic data collection technologies, and (iii) many devices allow you to change your device settings to limit automatic data collection technologies for device applications. Please note that blocking cookies and other automatic data collection technologies through third-party tools and features may negatively impact your experience using our Service, as some features and offerings may not work properly or at all. Depending on the third-party tool or feature you use, you may not be able to block all cookies or other automatic data collection technologies or you may need to update your preferences on multiple devices or browsers. We do not have any control over these third-party tools and features and are not responsible if they do not function as intended.

C. Information From Third Party Sources
We may receive the same categories of personal information about you as described above from the following sources and third parties and combine this information with other information we have.
- Affiliates. We may receive personal information from other companies owned or controlled by Nexusbird, Inc., and other companies owning or under common ownership with Nexusbird, Inc. This includes any subsidiaries (i.e., any organization we own or control) or our parent company (i.e., any organization that owns or controls us) and any subsidiaries it owns.
- Third-Party Integrations. In order to login or to use certain features of our Service, you may be required to connect certain third-party integrations with your Wonderly account, which may ask for certain permissions to access data or send information to the Service. For example, you may be required to login using Google or Microsoft. These services will authenticate your identity and provide you the option to share certain data or features to the service with us, such as access to your Google Calendar or Microsoft Calendar. Through the use of the Service, you will have the ability (or we will automatically suggest as part of the Service) to create or change your integrated calendars, assign tasks, and update individual calendar events. As such, the data shared with us will depend on your settings and the information you have included in your calendars, which may include personal information such as your name, email, access tokens, and other information related to your account with the third party service (including any information included in your calendar notes or documents that have been attached). Note we are not responsible for the practices of third-party integrations, so please carefully review the permissions you grant to third-party applications.
- Advertisers, Influencers, and Publishers: We engage in advertising through third-party services. Advertisers, influencers, and publishers may share personal information with us in connection with our advertising efforts. For example, we may obtain information about whether an advertisement for our Service led to a successful engagement between you and us.
- Service Providers. Our service providers that perform services solely on our behalf, such as email marketing providers, cloud providers, IT services, and payment processors, collect personal information and often share some or all of this information with us in connection with the facilitation of our services.
- Other Customers. We may receive your personal information from our other customers. For example, a customer may provide us with your contact information as a part of a referral.
- Social Media Platforms. When an individual interacts with us through various social media networks, we may receive some information about the individual that they permit the network to share with third parties. The data we receive is dependent upon an individual’s privacy settings with the network. Individuals should review and, if necessary, adjust their privacy settings on third-party websites and networks before sharing information with us or the platform.
- Information Providers. We may from time to time obtain information from third-party information providers that have a lawful purpose to share your personal information, including marketing providers. We use this information to correct or supplement other personal information we collect. For example, we may obtain updated contact information from third-party information providers to reconnect with individuals.
- Publicly Available Information. We may also collect personal information from publicly available sources, such as government records or publicly available websites, to supplement other personal information we collect.
- Google API Services User Data. Our use of information received from Google APIs (including data accessed via OAuth scopes such as calendar events, user content, or profile information), as well as data aggregated, anonymized, or derived from such information, adheres to the Google API Services User Data Policy, including the Limited Use requirements.
3. HOW WE USE YOUR INFORMATION
We use the information we collect for purposes described in this Privacy Notice or as otherwise disclosed to you on our Service or in connection with our Service. For example, we use your information to:
- Set up your account and deliver the Service to you, including to automatically suggest meeting entries, assign tasks, and create projects;
- Send you transactional information, including confirmations, invoices, technical notices, product and services information, updates, security alerts, support and administrative messages, and information about your transaction with us;
- Communicate with you such as to respond to your comments and questions or provide customer service or feedback, or for any other purposes in connection with the Service;
- For marketing purposes, including, for example, to send you emails, text messages, or push notifications with news about products and services offered by us;
- Operate, maintain, test, enhance, update, monitor, diagnose, and fix the Service as well as perform overall service quality improvements, troubleshooting, debugging, and resolving technical issues;
- Detect, prevent, investigate or provide notice of fraud or unlawful or criminal activity, unauthorized access to or use of personal information or our data system services, and to meet governmental and institutional policy obligations;
- Defend, protect, enforce and carry out our rights or applicable contracts and agreements (including with our customers);
- Investigate and resolve disputes and security issues and to enforce our Terms of Use;
- Facilitate business transactions or reorganizations impacting the structure of our business;
- Comply with contractual and legal obligations and requirements; and
- For any other lawful, legitimate business purpose, including to fulfill any other purpose for which you provide your personal information or for which you have otherwise consented.
We may aggregate, de-identify, and/or anonymize any information collected through the Service so that such information is no longer reasonably capable of being associated with you. We may use aggregated, de-identified or anonymized information for any purpose, including research and marketing purposes, and we may also share such information for any purpose with any third parties, at our discretion.
For the purposes discussed in this Privacy Notice, we may combine the information that we collect through the Service with information we receive from other sources, both online and offline, and use such combined information in accordance with this Privacy Notice.
4. DISCLOSURE OF YOUR INFORMATION
We may disclose or otherwise make available your personal information in the instances described below.
- Affiliates. We may disclose personal information to other companies and brands owned or controlled by Nexusbird, Inc. and other companies owned by or under common ownership as Nexusbird, Inc., which also includes our subsidiaries (i.e., any organization we own or control) or our ultimate holding company (i.e., any organization that owns or controls us) and any subsidiaries it owns. These companies will use your personal information in the same way as we can under this Privacy Notice, subject to any restrictions under applicable law.
- Ad Networks and Advertising Partners. We work with third-party ad networks and advertising partners to deliver advertising and personalized content across websites, services, and devices. These parties may collect information automatically from your browser or device when you visit our Sites and other portions of the Service through the use of cookies and related technologies. This information is used to provide and inform targeted advertising, as well as to provide advertising-related services such as reporting, attribution, analytics, and market research. For more information on our and third-party partners’ data collection and online advertising practices, please see the Third Party Data Collection and Online Advertising section of this Privacy Notice.
- Service Providers. We may share personal information with third-party service providers that perform services on our behalf, as needed to carry out their work for us, which may include web hosting, or providing analytics services. We do not share Google user data with service providers for advertising or non-core purposes.
- Payment Processors. You provide your information directly to our payment processors in connection with payments for our Service. The processors are lawfully permitted to process your information for their own business purposes and legal requirements. We currently use Stripe for payment processing. - Business Transfers or Reorganization. We may take part in or be involved with a business transaction or reorganization, such as a merger, acquisition, joint venture, or financing or sale of company assets. We may disclose, transfer, or assign personal information to a third party during negotiation of, in connection with, or as an asset in such a business transaction or reorganization. Also, in the unlikely event of our bankruptcy, receivership, or insolvency, your personal information may be disclosed, transferred, or assigned to third parties in connection with the proceedings or disposition of our assets.
- Regulatory or Legal Requirements, Safety and Terms Enforcement. We may disclose personal information to third parties, such as legal advisors and law enforcement: (a) in connection with the establishment, exercise, or defense of legal claims; (b) to comply with laws or to respond to lawful requests and legal process; (c) to protect our rights and property and the rights and property of our agents, customers, and others, including to enforce our agreements, policies, and terms of use; (d) to detect, suppress, or prevent fraud; (e) to reduce credit risk and collect debts owed to us; (f) to protect the health and safety of us, our customers, or any person; or (g) as otherwise required by applicable law. We may also disclose personal information to governmental regulatory authorities as required by law, including for tax or accounting purposes, in response to their requests for such information or to assist in investigations.
- Consent or Direction. We may disclose personal information to any other entity or publicly with your consent or direction.
We may also share information with others in de-identified, aggregated or otherwise anonymized form that does not reasonably identify you directly as an individual.
Please note we do not sell or share phone number and SMS / text message opt-in data / consent with any third party or affiliate for their own marketing or promotional purposes. All of the above categories of third-party data sharing exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties, except as needed in connection with a business transaction or reorganization, our legal obligations and rights, or otherwise with your consent or direction (each as described above).
5. THIRD-PARTY TRACKING AND ONLINE ADVERTISING
Important Note on Google User Data: Data accessed from Google APIs via OAuth (such as calendar events or related user information for core Service features like meeting suggestions, task assignment, and project creation) is strictly not used for any advertising, targeted advertising, retargeting, personalized ads, interest-based advertising, or shared/transferred to third parties for such purposes. Our use and handling of this data complies with the Google API Services User Data Policy, including the Limited Use requirements. See Section 2.C for details. The practices described in this Section apply only to non-Google API data collected through general website usage, analytics, or other non-OAuth sources.
We may share, or we may permit third-party online advertising networks, social media companies, and other third-party services, to collect information about your use of our Site over time so that they may play or display ads that may be relevant to your interests on other websites or apps, or on other devices you may use. Typically, though not always, the information we share or otherwise make available is provided through cookies or similar tracking technologies, which recognize the device you are using and collect information, including hashed data, clickstream information, browser type, time and date you visited the website and other information. This information is used to display targeted ads on or through our services or on other websites, apps, or services. We or the online advertising networks use this information to make the advertisements you see online more relevant to your interests. We may also display targeted advertising to you through social media platforms, such as LinkedIn, Facebook, TikTok, Twitter, Google, Pinterest, and others. These companies have interest-based advertising programs that allow us to direct advertisements to users who have shown interest in our services or our clients’ services while those users are on the social media platform, or to groups of other users who share similar traits, such as likely commercial interests and demographics. These advertisements are governed by the privacy notices of those social media companies that provide them.
Google Analytics and Advertising. We may also utilize certain forms of display advertising and other advanced features through Google Analytics. These features enable us to use first-party cookies (such as the Google Analytics cookie) and third-party cookies (such as the DoubleClick advertising cookie) or other third-party cookies together to inform, optimize, and display ads based on your past visits to our services.
You may control your advertising preferences or opt-out of certain Google advertising products by visiting the Google Ads Preferences Manager, currently available at https://myadcenter.google.com/?ref=help-center.
Advertising Opt-Out Programs. To learn more about interest-based advertising and how you may be able to opt-out of some of this advertising, you may wish to visit the Digital Advertising Alliance’s (DAA) resources and/or the Network Advertising Initiative’s (NAI) online resources:
- Digital Advertising Alliance: The Digital Advertising Alliance allows individuals to opt out of receiving online interest-based targeted advertisements from companies that participate in their program. Please follow the instructions at https://optout.aboutads.info/?c=2&lang=EN for browser-based advertising and https://www.youradchoices.com/appchoices for app-based advertising to opt out of targeted advertising carried out by our third-party partners and other third parties that participate in the Digital Advertising Alliance’s self-regulatory program.
- Network Advertising Initiative: The Network Advertising Initiative also provides individuals instructions for further controlling how information is used for online advertising. Please follow the instructions at https://thenai.org/how-to-opt-out/ to exercise these controls.
Please note that when you opt out of receiving interest-based advertisements through one of these programs, this does not mean you will no longer see advertisements from us or on our online services. It means that the online ads that you do see from relevant program participants should not be based on your interests. We are not responsible for the effectiveness of, or compliance with, any third-parties’ opt-out options or programs or the accuracy of their statements regarding their programs. In addition, program participants may still use cookies and other automatic data collection technologies to collect information about your use of our services, including for analytics and fraud prevention as well as any other purpose permitted under the applicable advertising industry program.
Device-Specific Opt-Out Programs. Certain devices provide individuals the option to turn off targeted advertising for the entire device (such as Apple devices through their App Tracking Transparency framework or Android devices through their opt out of ads personalization feature). Please refer to your device manufacturer’s user guides for additional information about implementing any available device-specific targeted advertising opt-outs.
Other Opt-Outs. When you visit our website, log in, register or open an email, cookies, ad beacons, and similar technologies may be used by our online data partners or vendors to associate these activities with information they or others have about you, including your email address. We (or service providers on our behalf) may then send communications and marketing to these email addresses. You may opt out of receiving this advertising by visiting https://app.retention.com/optout.
We are not responsible for the effectiveness of, or compliance with, any third-parties’ opt-out options or programs or the accuracy of their statements regarding their programs.
6. CONTROL OVER YOUR INFORMATION
Modifying or Deleting Your Information. If you have questions about reviewing, modifying, or deleting your information, you can contact us directly at privacy@wonderly.com. We may not be able to modify or delete your information in all circumstances.
Access to Your Device Information. You may control the App’s access to your device information through your “Settings” app on your device. For instance, you can withdraw permission for the App to access your location, camera roll and camera.
How to Control Your Email Communications Preferences. You can stop receiving promotional email communications from us by clicking on the “unsubscribe link” provided in such communications. We make every effort to promptly process all unsubscribe requests. You may not opt out of service-related communications (e.g., account verification, transactional communications, changes/updates to features of the Service, technical and security notices).
How to Control Your Phone Communications Preferences. You can stop receiving promotional phone communications from us by informing the caller you no longer wish to receive promotional phone calls from us, following the instructions provided on the call for opting out of promotional phone calls (where available), or replying STOP to any one of our promotional text messages. Please note we may need to continue to communicate with you via phone for certain service-related messages (such as, sending a verification code to your phone via call or text for purposes of verifying the authenticity of a log-in attempt).
How to Control Push Notification Preferences: You can stop receiving push notifications from us by changing your preferences in your device’s notification settings menu or in the applicable service-specific application. Please note we do not have any control over your device’s notifications settings and are not responsible if they do not function as intended.
Withdrawing Consent: Where we have your consent for the processing of your personal information (e.g., when you opt in to receive certain types of marketing communications from us), you may withdraw your consent by following the instructions provided when your consent was requested or by contacting us as set forth in the Contact Us section below.
7. RETENTION OF PERSONAL INFORMATION
We retain personal information for the duration of your account and for up to one year after an account is deleted, unless you request earlier deletion or a longer retention is required under applicable law or in connection with an ongoing dispute. Once the designated retention period expires — or upon your verified request — we permanently delete or de-identify the data from all active systems and backups.
8. SECURITY OF PERSONAL INFORMATION
We have implemented reasonable physical, technical, and organizational safeguards that are designed to protect your personal information, including procedures to encrypt personal information at-rest and in-transit. In addition, we take steps designed to ensure any third party with whom we share personal information provides a similar level of protection. For example, all of our Service is hosted with Google Cloud Platform (GCP), who employs a robust security program with multiple certifications. Despite these controls, we cannot completely ensure or warrant the security of your personal information.
9. CHILDREN’S PRIVACY
Wonderly’s Service is not directed to, and Wonderly does not intend to, or knowingly, collect or solicit any information from anyone under the age of 13. In the event that we learn that we have inadvertently collected personal information from a child under age 13, we will delete that information as quickly as possible. If you believe that we might have any information from a child under 13, please contact us at privacy@wonderly.com.
10. LINKS TO OTHER WEB SITES AND SERVICES
The Service may contain links to and from third-party websites, plug-ins, applications, or other services of our business partners, advertisers, social media platforms, or other third parties. If you follow a link to any of these third-party services, please note that these third-party services have their own privacy notices and we strongly recommend that you read their privacy notice and terms and conditions of use to understand how they collect, use, and share information. We are not responsible for the privacy practices or the content on the websites of third-party sites. This Privacy Notice does not apply to any personal information practices of these third-party websites, plug-ins, applications, or other services.
11. REGION-SPECIFIC DISCLOSURES
Nevada: Chapter 603A of the Nevada Revised Statutes permits a Nevada resident to opt out of future sales of certain covered information that a website operator has collected or will collect about the resident. To submit such a request, please contact us at privacy@wonderly.com.
12. CHANGES TO OUR PRIVACY NOTICE
We will update this Privacy Notice from time to time. When we make changes to this Privacy Notice, we will change the date at the beginning of this Privacy Notice. If we make material changes to this Privacy Notice, we will notify individuals by email to their registered email address, by prominent posting on our Services, or through other appropriate communication channels. All changes shall be effective from the date of publication unless otherwise provided.
